Terms of Service

1. Acceptance of these Terms

By creating an account or using app.pharmascript.app ("the Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

PharmaScript is software for pharmacy delivery drivers and pharmacy operators. It scans manifests, builds routes, captures proof of delivery, and generates reports and invoices. We do not perform deliveries ourselves. We do not employ drivers. We do not dispense medication. We do not handle controlled substances.

You are responsible for: complying with all federal, state, and local laws and regulations applicable to your deliveries (including the DEA Controlled Substances Act and applicable state pharmacy regulations); maintaining required licenses, insurance, and vehicle registrations; the accuracy of the data you scan and capture; and your relationships with the pharmacies and recipients you serve.

3. Account

You must be at least 18 years old to create an account. You are responsible for keeping your sign-in credentials confidential and for everything that happens under your account. Notify us immediately at support@pharmascript.app if you believe your account has been compromised.

You agree to provide accurate information when signing up and to keep it current. We may refuse service, terminate accounts, or remove content at our discretion.

4. Subscription and billing

Free trial: New accounts receive a 14-day free trial. We do not collect payment information to start the trial. At the end of the trial, you must subscribe to continue using the Service.

Subscription plans:

• Monthly: $49 per month, billed each month.
• Annual: $470 per year, billed once each year ($39 per month equivalent).

Payment: We use Stripe to process payments. By subscribing you authorize us to charge your payment method on file at the start of each billing period until you cancel.

Cancellation: You may cancel at any time from your subscription settings. Cancellation takes effect at the end of the current billing period. We do not pro-rate refunds for unused time.

Refunds: If you are dissatisfied within 7 days of a charge, contact support@pharmascript.app and we will issue a refund. After 7 days, charges are non-refundable except where required by law.

Price changes: We may change subscription prices. We will give you at least 30 days notice by email before any price change takes effect.

Failed payments: If a payment fails, we will retry. If we cannot collect payment after 14 days, we may suspend your account until you update your payment method.

5. Acceptable use

You may not use PharmaScript to:

• Violate any law or regulation, including pharmacy, controlled-substance, DOT, or HIPAA regulations
• Transport substances you are not authorized to transport
• Falsify delivery records, signatures, photos, GPS data, or any other audit-relevant data
• Impersonate another driver, recipient, or pharmacy
• Reverse-engineer, decompile, or attempt to extract source code from the Service
• Resell, sublicense, or redistribute the Service without our written permission
• Send unsolicited messages through the Service's email or report features
• Attempt to interfere with, overload, or disrupt the Service's infrastructure

We may suspend or terminate accounts that violate these rules without prior notice.

6. Your content

You retain ownership of the manifests, photos, signatures, and other data you submit through PharmaScript ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to store, process, transmit, and display Your Content solely for the purpose of providing the Service to you.

You represent that you have all rights necessary to submit Your Content and that doing so does not violate any law or third-party right.

7. Our intellectual property

The Service, including the PharmaScript software, brand, logos, and documentation, is owned by PharmaScript and protected by US and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose during your subscription. All rights not expressly granted are reserved.

8. Third-party services

PharmaScript integrates with third-party services (Stripe for payments, Clerk for authentication, Google for optional sign-in, and others listed in our Privacy Policy). Your use of those services is governed by their own terms. We are not responsible for third-party services.

9. Disclaimers

The Service is provided "as is" and "as available" without warranty of any kind. We disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure; that defects will be corrected; or that the Service will meet your specific requirements. Route optimization, OCR accuracy, and GPS precision are best-effort outputs; you are responsible for verifying them before relying on them.

10. Limitation of liability

To the maximum extent permitted by law, PharmaScript and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, resulting from your use of the Service.

Our total liability for any claim arising out of these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold PharmaScript harmless from any claim or demand, including reasonable attorneys' fees, arising out of your use of the Service, Your Content, your violation of these Terms, or your violation of any law or third-party right.

12. Termination

You may terminate your account at any time by cancelling your subscription and emailing support@pharmascript.app to request account deletion.

We may suspend or terminate your access to the Service immediately if you violate these Terms, if your account becomes overdue, or for any reason with reasonable advance notice. Upon termination, your right to use the Service ends. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or the Service shall be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.

14. Changes

We may modify these Terms at any time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the modified Terms.

15. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PharmaScript regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right under these Terms is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them freely.
